Terms of Service

These terms are an agreement between you and MatterbaseAI ("we", "us"). By creating an account or using MatterbaseAI, you accept them and our Privacy Policy. If you use MatterbaseAI for an organization, you accept these terms on its behalf and confirm you have authority to do so.

• You must be at least 16 years old, or the age of digital consent where you live.
• Give us accurate information and keep it current, including your phone number.
• Keep your password safe. You are responsible for what happens under your account; tell us right away if you suspect someone else is using it.

The Free plan costs nothing. Paid plans are billed monthly in advance, in US dollars, at the prices on our pricing page, and renew automatically until you cancel. Prices exclude taxes, which you pay where applicable.

• You can cancel anytime; your plan stays active until the end of the period you paid for. Payments are non-refundable except where the law requires otherwise.
• Each plan has limits on pages, databases, tables, storage and channels. Items in the trash count toward them until you delete them permanently.
• If you move to a smaller plan, nothing is deleted, but you can't add more until you are back under its limits.
• We may change prices or plan limits with at least 30 days' notice. Changes apply from your next billing period.

You own everything you put into MatterbaseAI: pages, records, files, messages and the assistant's output for you. You give us a limited license to store, process, transmit and display it only as needed to run the service for you, including sending it to the providers described in our Privacy Policy.

You are responsible for your content and confirm you have the rights to upload it and to have us process it.

The assistant uses AI models that can be wrong, incomplete or out of date. Review its output before you rely on it, and don't treat it as legal, medical, financial or other professional advice.

When you let the assistant act for you, such as sending an email or message, creating triggers or changing records, you are responsible for those actions as if you had taken them yourself.

When you link email, SMS, WhatsApp, phone or other channels, or connect Gmail:

• you authorize us to send and receive messages through them on your behalf;
• you must have consent from anyone you message or call through MatterbaseAI, and follow the anti-spam, telemarketing and privacy laws that apply to you;
• you must follow the rules of each platform, such as WhatsApp's and Google's policies;
• your carrier may charge you for messages.

You can reply STOP to our SMS messages or unlink a channel in Settings at any time.

Don't use MatterbaseAI to:

• break the law or infringe anyone's rights, including intellectual property and privacy;
• send spam, bulk unsolicited messages, or robocalls;
• upload malware or content that is abusive, harassing, hateful or sexually exploits minors;
• probe, overload or get around the security, limits or access controls of the service;
• scrape or reverse engineer the service, or resell it without our written permission;
• build a competing product using the service or its output.

MatterbaseAI connects to services we don't control, such as Google, Zavu and messaging platforms. Their own terms govern your use of them, and we aren't responsible for their availability or actions.

You can stop using MatterbaseAI at any time and ask us to delete your account. We may suspend or close your account if you breach these terms, if your use puts others at risk, or if the law requires it. Where reasonable, we'll tell you first and give you a chance to fix the problem and download your content.

Sections that by their nature should survive termination, including ownership, disclaimers, limitation of liability and governing law, continue to apply.

We are constantly improving MatterbaseAI and may add, change or remove features. If we remove something material to a paid plan, we'll give you notice and, if you cancel because of it, a prorated refund for the unused part of your current period.

MatterbaseAI is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't promise the service will be uninterrupted or error-free, that messages will always be delivered, or that AI output will be accurate.

To the fullest extent the law allows, we won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the service is limited to the greater of the amount you paid us in the 12 months before the claim and US $100.

You will defend and indemnify us against third-party claims arising from your content, the messages you send through MatterbaseAI, or your breach of these terms.

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws rules. Disputes go to the courts located there, unless the consumer laws of your country give you the right to bring them where you live.

We may update these terms. For material changes, we'll update the date at the top and notify you by email or in the app at least 30 days before they take effect. If you keep using MatterbaseAI after that, you accept the new terms.

Questions about these terms go to [email protected].
